    2-Minute Ontario Corporate Diagnostic

Ontario Business Legal Health & Compliance Audit

Evaluate your corporation's compliance with Ontario Business Registry (OBR), Employment Standards Act (ESA), and OBCA governance mandates.

    1

Has your corporation filed its Annual Return with the Ontario Business Registry (OBR)?

Since October 2021, Ontario corporations must file an annual return directly via the Ontario Business Registry within 6 months of fiscal year-end.

    2

Do you maintain an updated Corporate Minute Book with annual shareholder and director resolutions?

Under Section 140 of the Ontario Business Corporations Act (OBCA), corporations must keep registers of directors, officers, shareholders, and written annual resolutions.

    3

If you have more than one shareholder or business partner, is there a signed Unanimous Shareholder Agreement (USA)?

A Shareholder Agreement governs decision-making, share transfers, disability, death, and 'shotgun' buy-sell dispute resolution.

    4

Do all employees and contractors have written agreements complying with current Ontario Employment Standards Act (ESA) rules?

Recent Ontario court decisions (e.g. *Waksdale v. Swegon North America*) have invalidated older termination clauses, exposing employers to massive common law severance liabilities.

    5

Do you use standardized written service agreements with explicit Limitation of Liability and IP assignment terms?

Limitation of liability clauses cap monetary exposure in the event of client disputes, data loss, or service interruption.
